Terms of service

The conditions under which we deliver a tailor-made system.

These terms govern the consulting and implementation service for tailor-made AI systems by VORIA AI S.A.S. They are different from the ALMA Business terms, our subscription product. By approving a proposal under this service, you accept what follows.

In force since September 30, 2026 · Español

01Who provides the service

VORIA AI S.A.S., tax ID (NIT) 902.056.192, a company incorporated in Colombia, domiciled in Antioquia, Colombia. It is responsible for the service and for the processing of your personal data.

Its affiliate VORIA AI LLC (Wyoming, United States) operates part of the technology infrastructure the system we build for you runs on. That is why your data may be processed abroad, with the safeguards described in the Privacy Policy.

Contact: ceo@wearevoria.io for legal and data matters, hola@wearevoria.io for commercial ones.

02What the service is

The tailor-made system is a consulting and implementation service: we diagnose your operation and design, build and put into operation an AI Infrastructure system built specifically around your processes, your tools and your team.

It is different from ALMA Business, our subscription product with fixed plans published at wearevoria.com/business. The tailor-made system has no standard plan: its scope is defined case by case in the proposal.

03How it is contracted

The process starts with a diagnosis of your operation. From there we deliver a written proposal with the scope, deliverables, timeline and price.

The proposal you approve in writing is the contract between the parties. Where the proposal and these terms differ, what the signed or accepted proposal says prevails.

04Scope and changes

We work on what was defined in the approved proposal. Any request outside that scope is a change request: we quote it separately, and you approve it in writing before we start working on it.

05What we need from you

06Payments

Payments, their structure (for example an advance and milestone payments), currency and VAT where applicable are set in the proposal. A late payment may lead us to pause the work until it is regularized.

07Delivery and acceptance

Each deliverable goes through a review on your side. The proposal defines a reasonable window for that review. If we do not receive feedback within that window, the deliverable is considered accepted.

08Intellectual property

What we build specifically for you is yours once it is paid in full.

09Confidentiality

Both parties agree to protect each other's confidential information and not to disclose it to third parties without authorization. This obligation survives the end of the service.

10Personal data

When we process personal data of your company as part of the project, we act as data processor, on your instructions and under Colombian Law 1581 of 2012.

11Operation and support

If the proposal includes operation or support after delivery, its scope and duration are defined there. The system may depend on third-party providers (language model APIs, messaging platforms, hosting), which have their own terms and availability, outside our direct control.

12Liability

The output of a language model can contain errors. Review what the system produces before using it outside your company.

To the extent the law allows, our total liability for any claim is limited to what you paid under the proposal in the three months before the event.

13Termination

Either party may end the service with written notice, under the terms the proposal defines. Work done and accepted up to that date is paid.

14Governing law

These terms are governed by the laws of the Republic of Colombia. Any dispute is submitted to the courts of Medellín, unless the law provides otherwise.
